Terms and Conditions
1. SEC Solutions shall not be held responsible for any loss of any nature, however incurred, through the use of any products or services supplied.
2. All software support is by way of telephone, fax and postal means only.
3. Software support is available from 8.30am until 4.45pm only, Monday to Friday excluding Bank Holidays.
4. Site visits are available at the rate in force at the time, and are always subject to staff availability.
5. No software support will be made available to any customer who has an outstanding balance in the SEC Solutions sales Ledger or Debtors list.
6. All goods remain the property of SEC Solutions until paid for in full.
7. All goods must be paid for, in full prior to dispatch.
8. The customer agrees that he/she has satisfied themselves of the suitability of any products or services ordered within this document (for and on behalf of the company that he/she represents) and that SEC Solutions do not warrant any suitability what so ever.
9. The customer indemnifies SEC Solutions against all losses and claims whatever the nature through the use of any software, support, hardware, advice and or training supplied by SEC Solutions.
10. If for any reason the customer requests an additional create file during the initial update period of twelve calendar months, or thereafter, this will be charged at the current create fee.
11. SEC Solutions do not attempt to set either current market prices nor do SEC Solutions guarantee any of the information stored in either its create file or its update file.
12. All of the information stored in either a create file, (updates.*), or an update file, (updates.*), has been supplied freely by the manufacturer concerned, and that all existing Trade Marks or Copyrights belong solely to that relevant manufacturer.
13. All of the information supplied by SEC Solutions on diskette must be returned to SEC Solutions within a 28 day period, (after receipt), otherwise they will be charged for at our current rates.
14. Each copy of either a create file or an update file is for your exclusive use only, e.g. it may be used within a single/multi user environment as long as that environment is retained with one branch. If copies of either the create or update files are required for use external to the single/multi user environment they must be applied for, and paid for separately at our current rates.
15. No Reports or Layouts will be created for the Customer by SEC Solutions, unless specifically noted on the Order Form. Any Reports or Layouts agreed to, will be charged at £ 100.00 +vat per Report or Layout, unless a price is specifically mentioned on the Order Form.
16. In our endeavour to continuously improve our Price Files, we reserve the right to modify any descriptive matter, add or delete entries as necessary, etc. without prior notice, but do agree to supply such changes within our updates file at times within the monthly period, where such an update is deemed necessary.
17. No amendments can be made to this contract unless confirmed in writing by both parties.
CANCELLING THE CONTRACT
18. The Updating Service runs for a minimum of 12 months. Three months notice is required, in writing, to cancel the updating service. If it is the Customers intention to take the Updating Service for the minimum period of time ( 12 Months ), then written confirmation of their intent to cancel MUST be received by SEC Solutions Ltd before the end of the 9th month of the initial term.
19. Under the terms of this License the title to this Software remains with SEC Solutions, the Customer is entitled to use it for as long as they subscribe, and pay for, the Updating Service. Should the Customer cancel the service, they may be asked to return the Original Software Discs to SEC Solutions, delete all occasions of its installation on any PC in their possession, and confirm in writing that these conditions have been met. This request is solely at the discretion of SEC Solutions Ltd.
Should this condition be broken, the Customer agrees to pay a further License Fee, equal to 12 months Updating Service.
On receipt of satisfactory payment and signed agreement to such end, SEC Solutions will assign the title of the Software to the Customer.
20. All notifications of cancellation should be sent to SEC Solutions by Recorded Delivery or Registered post, proof of posting is not proof of receipt by SEC Solutions.
21. Unless stated on the Order form the Software supplied is the Single User Version and should be installed on one Computer only.
22. Should any payment due under this contract not be made on time, the remainder of the contract payments become payable immediately.
23. The Customer accepts that the End User License Agreement (EULA), upon on installation of the Software, shall be deemed to be legally binding, and that they will be bound by the regulations contained therein. ( A copy of the EULA is available on request )
